SendToBooks, LLC — Affiliate Agreement
This Affiliate Agreement ("Agreement") is entered into by and between SendToBooks, LLC, a Minnesota limited liability company ("Company"), and the approved affiliate ("Affiliate"). By participating in the SendToBooks Affiliate Program, Affiliate agrees to the following terms:
1. Appointment
Company grants Affiliate a non-exclusive, revocable right to promote SendToBooks and refer customers using an assigned referral code. Affiliate is an independent contractor. Company may approve, deny, suspend, or revoke Affiliate participation at its sole discretion.
2. Referral Attribution
A referred customer must enter Affiliate's referral code at signup or within 7 days. Attribution permanently locks after 7 days. Company's internal records are the sole authority in determining referral attribution.
3. Commission Structure
Commission applies to subscription revenue actually collected. Includes seat-based revenue. Not earned on unpaid, refunded, reversed, disputed, or fraudulent transactions. Commission rate is assigned by Company and may vary among affiliates. Affiliate remains eligible for commission on attributed accounts for as long as they remain active and paying.
4. Exclusions
No commission on self-referrals, circular billing, or fraudulent activity. Affiliate shall not misrepresent SendToBooks, make false claims, engage in spam, or violate applicable standards.
5–6. Reporting & Payment
Commissions calculated monthly. Affiliate must provide valid tax documentation (W-9) prior to payment. Affiliate is responsible for all taxes.
7. Buyout
Company may buy out future commission rights at 24x the preceding month's commission with 30 days' notice.
8–15. General Terms
Either party may terminate upon notice. Affiliate agrees to confidentiality, non-disparagement, and indemnification. Governed by Minnesota law.
